GR Technologies Terms and Conditions of use

Definitions
 

"Force Majeure" means any cause affecting the performance by GR Technologies of its objections arising from acts, events, omissions, happenings or non-happenings beyond its reasonable control including (but not limited to) governmental regulations, fire, flood or any disaster or industrial dispute affecting a third party.

"Working days" means Monday to Friday, excluding Bank or other Public holidays.

"Year 2000 compliant" means that neither the performance nor the functionality of the goods or services is affected by dated before, during of after the year 2000 and in particular that:

(i) no value for current dated will cause any interruption in operation;

(ii) date based functionally will behave consistently for dated before, during and after the year 2000;

(iii) in all interfaces and data storage, the century in any day will be specified either explicitly or by unambiguous algorithms or inference rules;

(iv) the year 2000 will be recognised as a leap year.
 


INTERNET PROVISION


1. Registration

The details provided by you on Registration are important and must be true, correct and complete. You agree to notify us immediately of any changes which are relevant to your registration by informing us at Online Support Form


2. Your Personal Information

2.1 We will respect your personal information and undertake to comply with all applicable UK Data Protection legislation currently in force.

2.2 In relation to the personal information provided by you on registration (your registration details) you agree that GR Technologies may use such information in accordance with the purposes for which your permission has been obtained on registration.

2.3 Other than as required by law, or as permitted under these user conditions, we will not disclose your registration details to any third party without your permission.


3. Our Obligations to You

3.1 We agree to use our reasonable endeavours to maintain GR Technologies in a fully operating condition and error free. As we cannot guarantee that this will always be the case we do not accept responsibility for any defects that may exists, or for any costs, loss of profits, loss of data, or consequential losses arising from your use of, or inability to access GR Technologies.

3.2 GR Technologies is provided without any warranties or guarantees unless specifically stated.

3.3 Your dealings with, and interest in, promotions, services, or merchants found on or via GR Technologies, unless specifically stated by us, are solely between you and the person with whom you are dealing. Should any dispute arise between you, GR Technologies will do its best to help you resolve the situation, but we will not be responsible for any losses or damages that may arise from any such dealings.

3.4 We may provide ? or our contractual partners may provide ? links to other web sites or resources. We are unable to accept responsibility for these, neither can we be deemed to have endorse their content.

3.5 We reserve the right to suspend, restrict or terminate your access to GR Technologies for any reason.

3.6 In order to maintain the integrity of GR Technologies we reserve the right to forward contact details to the Police, or other Regulatory authorities where requested to do so; we may also forward contact details where a complaint arises concerning your use of GR Technologies, and where that use is deemed by us to be inconsistent with these user conditions.


4. Your Obligation to Us

4.1 You agree that you will only use GR Technologies in a manner that is consistent with these user conditions and in such a way as to ensure compliance with all applicable laws and regulations. In particular, you will not use GR Technologies to transmit or post any material with is defamatory, offensive or of an obscene or menacing character.

4.2 To the extent to which your use, or the use by any person who may be authorised by you or for whom you are responsible (for example as the parent or guardian of a child) causes loss or damage to any person, you agree to indemnify GR Technologies immediately on demand in relation to any such losses or damages attributable to GR Technologies, including where necessary any legal and administrative, or technical charges that may arise from such use.

4.3 Where applicable, you are responsible for maintaining the confidentiality of your username and the password assigned to you on registration. As a result, you are fully responsible for all activities which occur under them. You must notify us immediately of any unauthorised use to which you become aware.

4.4 You are responsible for obtaining the equipment and paying all telephone charges necessary to access and use GR Technologies. Should you no longer require the services we provide, you must inform us, in writing, at least thirty days before next subscription period commences You are also responsible for making your own back-up arrangements.

4.5 You agree that the material and content contained within or provided by GR Technologies is for your personal use only and may not be used for commercial purposes or distributed commercially without our permission. Your use of GR Technologies carried with no rights in relation to copyright, trade marks or other intellectual property rights in GR Technologies.

4.6 You agree not to use GR Technologies or the services made available to you on or via GR Technologies such that you cause the whole of part of GR Technologies or such services to be interrupted, damaged, rendered less efficient or is in any way impaired.

4.7 Hosting accounts have a monthly bandwidth allowance. If your hosting account uses more bandwidth than you account allows, we may, at our discretion, charge for excess bandwidth usage at 2.5 pence per megabyte.

4.8 No part subscriptions are refundable

4.9 GR Technologies will at no charge release a domain name registered to you, as long as all invoices due are paid in full beforehand.


General

1. Orders

All contracts of sale made by GR Technologies shall be deemed to incorporate these terms and conditions, which shall prevail over any other terms from the party ("the Customer") with whom GR Technologies is dealing. Cancellation of order is not accepted as many order are despatched on the same day the order is placed.


2. Prices

Goods and services, together with VAT are invoiced at the price prevailing at the time of order. GR Technologies reserves the right to modify the prices from time to time.


3. Delivery

3.1 Any time or date stated for delivery is an estimate only. GR Technologies make every effort to despatch goods on time but does not accept liability for failure to deliver within the stated time.

3.2 GR Technologies does not accept liability for shortages or damage to deliveries unless the Customer notifies us in writing within three working days of receipt.

3.3 The Customer has to accept the goods when they are ready for delivery; delivery is deemed to take place when the goods are delivered to the Customer's nominated address, where upon the risks of loss, breakage and all damages shall pass to the Customer.

3.4 Title in the goods does not pass to the Customer until payment is received in full by GR Technologies.

3.5 If the Customer cannot accept delivery, GR Technologies may as its option (a) store and insure the goods at the Customer's expense and risk or (b) sell the goods at the best price reasonably obtainable and (after deducting reasonable storage, insurance and selling costs) pay to the Customer any excess over the sale price or charge the Customer for any shortfall.


4. Payment

4.1 Payment is due within the time limit stated on your invoice.

4.2 If payment is not made on time, GR Technologies may charge interest daily on the outstanding balance at 3% above National Westminster Bank plc base lending rate from time to time. We also reserve the right to levy a charge of £10+vat for -

Any cheques returned to us unpaid.

An invoice which is overdue for more than 21 days.


5. Product Specifications

5.1 GR Technologies make every effort to supply the goods as advertised but reserves the right to vary actual dimensions, specifications and quantities without prior notice.

5.2 In the event that GR Technologies cannot supply the goods ordered by the Customer, GR Technologies reserves the right to supply goods of equal or superior quality at no extra cost.


6. Trade names and Trade Marks

Trade names and marks (other than GR Technologies) are not restricted to indications of manufacturers but may also be indicative of general use systems and machines associated with such products.


7. Returns

Returns are only accepted with GR Technologies prior written agreement and goods must be unopened, unused, undamaged and fully marketable.


8. GR Technologies Warranties

8.1 All goods supplied by GR Technologies are warranted to be free from defects in workmanship and materials. No goods are tested or sold as being fit for any purpose or use under specific conditions unless expressly agreed in writing.

8.2 Any complaints about this warranty must be in writing received by GR Technologies within 30 days from delivery. The Customer shall allow GR Technologies to investigate the complaint and inspect the goods; if the Customer's complaint is proven, GR Technologies will then repair or replace the goods or refund the purchase price as its sole option.

8.3 This warranty shall not apply if the goods have been worked upon, altered or damaged in any way by the Customer or its employees or agents, or if it has not been used in accordance with the manufacturer's instructions. The failure of a product to be Year 2000 compliant does not constitute a defect in materials and workmanship.


9. Year 2000

Where GR Technologies has received appropriate assurances about an item from its suppliers, the item is identified as "Year 2000 Compliant" and offered for sale as such. In the absence of such assurances, the item is offered for sale without any warranty about Year 2000 compliance and any warranty which may otherwise be implied is excluded.


10. GR Technologies Liability

10.1 GR Technologies shall not under any circumstances be liable for any consequential or indirect damages or losses however caused.

10.2 GR Technologies liability in respect of breach of the terms of any order shall be limited to the invoiced value of such order.

10.3 Nothing in this agreement shall limit GR Technologies liability for death or personal injury caused by its negligence.


11. Health and Safety

In accordance with the Health and Safety at Work etc Act 1974 and the Consumer Protection Act 1987, GR Technologies confirms that the goods it supplies as a distributor do not present a hazard to health and safety when properly used for the purpose for which they are designed and when the Customer takes reasonable and normal precautions in their us



GENERAL


1. If any provision in this Agreement is held to be invalid or unenforceable, it shall be deemed severed from the Agreement and this shall not affect the validity or enforceability of the remaining provisions.

2. Any waiver of a breach of this Agreement must be in writing.

3. Any variation of this Agreement must be in writing to be valid.

4. The headings are for convenience only and shall not affect the interpretation of this Agreement

5. Any notices given under this Agreement shall be in writing and sent (a) by first class pre-paid post to the last known address of the party or (b) by fax to their last known fax number or (c) by their last known email address. The notice shall be deemed served (a) two working days after posting or (b) upon receipt of a successful transmission report.

6. This Agreement shall be governed by and construed in accordance with the laws of England and the parties submit to the exclusive jurisdiction of the English courts.

7. GR Technologies may at its discretion record telephone transactions for staff training purposes. The tapes are erased after review.
